1. Acceptance of Terms

By accessing or using Nexus Sales Agent ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms, you must not access or use the Platform. These Terms apply to all users, including but not limited to visitors, registered users, and enterprise customers.

2. Description of Service

Nexus Sales Agent provides an AI-powered sales intelligence platform that connects to your email accounts to analyze communications, extract CRM data, identify sales opportunities, and automate workflow tasks. The Platform uses multi-agent AI systems to process email data and generate insights, task recommendations, and draft responses.

• Sales analytics and reporting

3. Account Registration & Security

You are responsible for:

• Providing accurate, current, and complete registration information
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized account access
• Ensuring your use complies with all applicable laws and regulations

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk to the Platform or other users.

4. Email Access & Authorization

By connecting an email account to the Platform, you authorize us to:

• Access your email messages via OAuth 2.0 or IMAP protocols
• Analyze email content using AI models for sales intelligence
• Store processed email data to provide the service
• Send emails on your behalf using draft features

You may revoke email access at any time by disconnecting the account in settings or revoking OAuth tokens through your email provider. Revocation will stop new data collection but previously processed data will be retained per our Privacy Policy.

5. Acceptable Use

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any laws
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to any part of the Platform
• Interfere with or disrupt the integrity or performance of the Platform
• Use the Platform to send unsolicited communications (spam)
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use AI features to generate deceptive or fraudulent content
• Exceed rate limits or API usage thresholds without authorization

6. AI Service Disclaimer

Our multi-agent AI system provides analysis and recommendations based on machine learning models. You acknowledge that:

• AI outputs may contain errors, inaccuracies, or omissions
• AI-generated drafts and recommendations should be reviewed before use
• The Platform is a tool to assist sales professionals, not a substitute for professional judgment
• We are not liable for decisions made based on AI-generated insights
• AI model accuracy depends on data quality and may vary between email types

7. Subscription & Billing

The Platform is offered under the following plans:

• Free Tier: Limited features with basic AI processing
• Pro Tier: Full AI features, unlimited email analysis, priority support
• Team Tier: Multi-user collaboration, shared CRM, advanced analytics
• Enterprise: Custom AI models, dedicated support, SLA guarantees

Billing terms: Monthly or annual subscriptions, auto-renewal, 14-day money-back guarantee. We use third-party payment processors and do not store full payment details.

8. Intellectual Property

The Platform, including its code, design, AI models, and branding, is owned by Nexus Sales Agent and protected by intellectual property laws. You retain all rights to your data (emails, contacts, opportunities) processed through the Platform. We do not claim ownership over your data.

By using the Platform, you grant us a limited license to process your data solely for providing the service. This license terminates upon account deletion.

9. Limitation of Liability

To the maximum extent permitted by law, Nexus Sales Agent shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.

The Platform is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

You agree to indemnify and hold harmless Nexus Sales Agent, its affiliates, officers, and employees from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Platform in violation of applicable laws
• Content you submit or process through the Platform
• Your unauthorized access to third-party email systems

11. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms. You may terminate your account at any time through your account settings. Upon termination:

• Access to the Platform will be revoked immediately
• Your data will be deleted per our Privacy Policy
• Prepaid fees will not be refunded (unless required by law)

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
